Drive Intellect Corporation (doing business as Road-IQ) (“Road-IQ”, “us”, “we”, “our”) provides this Privacy Policy to inform you of our policies and procedures regarding the collection, use and disclosure of the personal information that we receive when you visit or use the: (a) the websites owned or operated by Road-IQ or its affiliates (each a “Site”), (b) Road-IQ software, product and service offerings (“Offerings”), including the Road-IQ SmartHub™ platform (the “System”), (c) any hardware device associated with an Offering or the System, including cameras, sensors, servers and modems (each, a “Product”), (d) software relating to the Sites, Offerings or Products (“Software”), including Softwareinstalled on or embedded within Products as well as Software downloaded to your mobile device (an “App”), and (e) the services and functionality available through the Sites, Offerings, Products, and Software (the “Services”). For ease of reading in this Privacy Policy the Sites, Offerings, Products, Software and Services, including Apps and the System, are referred to collectively as the “Road-IQ Services”. This Privacy Policy applies only to personal information collected by us when you (i) use any of the Road-IQ Services, (ii) are authorized to access or use a Product or the Road-IQ Services on behalf of another person or to access or use their Account or Personal Data (an “Authorized User”), or (iii) otherwise participate in activities involving a vehicle in which a Product is installed or the Road-IQ Services are utilized (a “Guest,” and collectively, “you” or “your”). If you are notified that different privacy terms apply to a specific Road-IQ Service then such different terms shall control to the extent they are inconsistent with this Privacy Policy.
Your use of a Road-IQ Service indicates your agreement to this Privacy Policy. If you do not agree to any part of this Privacy Policy, then you must stop accessing the Road-IQ Services and terminate your Account.
1. Changes to Privacy Policy: This Privacy Policy may be updated from time to time to reflect changes to our information practices. If we make any material changes we will notify you by email or via the Road-IQ Services or other messaging system, or by means of posting an updated version of this Privacy Policy on the Sites. We encourage you to periodically review this page for the latest information on our privacy practices. Any modifications to this Privacy Policy will be effective upon our posting of the new terms and/or upon implementation of the new changes on the Road-IQ Service. In all of the above cases, your continued use of a Road-IQ Service after any notice or posted modified Privacy Policy indicates acceptance of the modified Privacy Policy. If you do not agree to any part of the modified Privacy Policy, then you must stop accessing the Road-IQ Services and terminate your Account.
2. Collection of Personally Identifying Information: In the course of using Road-IQ Services, you may provide and we may collect certain personally identifying information that can be used to uniquely identify or contact you as an individual (“Personal Data”). Personal Data may include, but is not limited to, your name, photo, phone number, credit card or other billing information, email address, and postal addresses, but does not include business information associated with an entity rather than an individual. In order to use certain Road-IQ Services, you may be required to set up an account with Road-IQ (an “Account”). During this process, we may ask you for certain Personal Data to establish and use your Account. You may at any time refuse to provide the Personal Data that we request; however, this may limit our ability to provide the Road-IQ Services to you. If you submit payment card data to the Road-IQ Services, it may be submitted directly to the payment processing provider (and not to Road-IQ) in which case such information shall not be subject to this Privacy Policy, and Road-IQ will have no responsibility or liability for such information. We are not responsible for any errors by a payment processor or for any security breaches suffered by such entity.
3. Collection of Usage Information: Our systems automatically record certain information about how a person uses Road-IQ Services (we refer to this information as “Usage Information”), including both Account holders and non-account holders. Usage Information may include information such as a user’s Internet Protocol (IP) address, location, domain name, referring web page, device and browser type, operating system, device settings, the pages or features of Road-IQ Services to which a user browsed and the time spent on those pages or features, frequency with which Road-IQ Services are used by a user, search terms, the features and links on Road-IQ Services that a user clicked on or used, and other statistics. We use this information to administer Road-IQ Services and we analyze (and may engage third parties to analyze) this information to improve and enhance Road-IQ Services by expanding their features and functionality and tailoring them to our users’ needs and preferences. Usage Information does not, in and of itself, identify you personally, but we may link it to Personal Data for Account holders.
(a) Service Data: We may collect and record information relating to the setup, general performance, and operation of Road-IQ Services, including Product status, data that a Product’s sensors record (including video and audio), and your (and your Authorized User’s) Product and App usage. We may store this data along with your Personal Data and other information about your use of Road-IQ Services. We use this information to allow you (and us) to operate and monitor your Product and Road-IQ Services. We may use third-party analytics providers, including Google® Analytics, in connection with collecting and analyzing information about usage of Road-IQ Services. Analytics providers may use first-party or third-party cookies as well as beacons and other collection technologies to collect such Usage Information. They use collected information for the purpose of evaluating your use of the Road-IQ Services, compiling reports on activity for us, and providing other services relating to website activity and service usage.
(b) Location and Mobile Data: When you use certain features of Road-IQ Services, in particular our Apps and Products, we may receive, store and process different types of information about your and your vehicles’ location, including general information (e.g., IP address, zip code),diagnostic information, and direction of travel, and more specific GPS location information that is provided to us by a Product or your mobile device. We may associate this data with information you provide regarding your vehicles such as description and vehicle identification number(s) and other Account information.
(c) Cookies and Beacons: Like many service providers, we may collect Usage Information through the use of “cookies,” which are small text files that are saved by your browser or device when you access Road-IQ Services. We (and our third-party analytics providers, such as Google® Analytics) may use both session cookies and persistent cookies to identify that you’ve logged in to the Road-IQ Services and to tell us how and when you interact with Road-IQ Services. We may also use cookies to monitor aggregate usage and web traffic routing for Road-IQ Services and to customize and improve Road-IQ Services. Although most browsers automatically accept cookies, you can change your browser options to stop automatically accepting cookies or to prompt you before accepting cookies. Please note, however, that if you don’t accept cookies, you may not be able to access all portions or features of Road-IQ Services. We may also employ and/or our service providers may employ software technology called tags or web beacons (a.k.a. pixel tags or clear gifs), that help us better manage Road-IQ Service content and communications by informing us what content is effective and how it is used. These beacons (or other tracking technology) may be included in or associated with e-mails or other communications that you receive from us (or our partners) in order to help us track your response and interests and to deliver you relevant content and services. For Account holders we may link information gathered by web beacons or other tracking technology to Personal Data.
4.Authorized User and Guest Information: In connection with use of the Road-IQ Services, you may grant Authorized Users permission to access your Product or Personal Data or to access the Road-IQ Services on your behalf. You must be careful of the Authorized Users that you invite and the access that you give them. You are responsible for all uses of your Account and Products, including those by Authorized Users. Additionally, certain portions of your Personal Data, Usage Information and Road-IQ Service information may be shared with the people to whom you give access to your Account or Product, includingthose Guests who participate in activities involving your vehicles in which a Product is installed. The Product or other Road-IQ Service may collect Personal Data and Usage Information about (a) Guests and (b) Authorized Users in connection with their access to your vehicle, a Product or the Road-IQ Services. All collected Personal Data is subject to, and will be used and disclosed as set forth in, this Privacy Policy. All Authorized Users and Guests expressly consent to such use and disclosure. Any Authorized User or Guest who does not consent to such use, should not use the Road-IQ Services or provide any Personal Data. You agree to provide adequate notice to your Authorized Users and Guests (including notice regarding location tracking by a Product and Road-IQ Services) regarding the collection of Personal Data and Usage Information and its use and sharing in accordance with this Privacy Policy, or you will disconnect the Product when persons are in the vehicle who have not received adequate notice or given consent. You will not record or track the location of any individual in violation of applicable law and will only use the Product and provide Personal Data with the informed consent of all Guests within a vehicle in which a Product is installed. We will have no liability for the failure to provide notice or obtain the consent of any Authorized User or Guest.
5. Use of Personal Data: We use Personal Data for the following purposes: (i) to provide our products and services to you (or the business you represent) and maintain our business relationship, (ii) to administer and improve Road-IQ Services, (iii) to better understand your needs and interests, (iv) to fulfill requests you may make, (v) to personalize your experience, (vi) to provide Road-IQ Service announcements, (vii) to provide you with further information and offers from Road-IQ or its affiliates; (viii) to administer rewards, surveys, sweepstakes, contests, or other promotional activities or events sponsored or managed by Road-IQ or its affiliates or select business associates; and (ix) to comply with our legal obligations, resolve disputes with users, enforce our agreements and to protect, investigate and deter against fraudulent, harmful, unauthorized or illegal activity. We may combine the Personal Data we collect with publicly available information and information we receive from our business partners and other third parties.
6. Disclosure to Third Parties: Under this Privacy Policy you and your Authorized Users and Guests hereby consent to our sharing Personal Data under the following circumstances:
(a) Our Affiliates: We may share your Personal Data with our parent company, subsidiaries, joint ventures, or other companies under common control that we may have now or in the future, in which case we will require them to honor this Privacy Policy.
(b) Our Service Providers: We may employ third party companies and individuals to administer and provide Road-IQ Services on our behalf, (including maintenance, administration, support, hosting and database management services and bill and credit card payment processing). We may provide these third parties with access to your Personal Data to perform these tasks on our behalf and they are obligated not to disclose or use it for any other purposes.
(c) Third Party Service Providers: We may provide Personal Data to a third party who facilitates your access to the Road-IQ Services (such as Verizon Wireless in connection with cellular access to a Product) or whom you have otherwise authorized via the Road-IQ Services (collectively, a “Third Party Provider”) in connection with your receipt of the authorized services.
(d) Special Cases: Road-IQ cooperates with government and law enforcement officials and private parties to enforce and comply with the law. We will use, and disclose any information about you to government or law enforcement officials or private parties as we, in our discretion, believe necessary or appropriate to respond to claims and legal process (including but not limited to subpoenas), to protect the property and rights of Road-IQ or a third party, to enforce our legal agreements, to protect the safety of the public or any person, or to prevent or stop any activity we may consider to be, or to pose a risk of being, illegal, unethical, inappropriate or legally actionable.
(e) Corporate Transactions: In the event Road-IQ or its affiliates or their assets are sold, merged or otherwise involved in a corporate transaction or bankruptcy, your Personal Data will likely be transferred as part of that transaction. We reserve to right to transfer your information without your consent in such a situation; provided that we will make reasonable efforts to see that your privacy preferences are honored by the transferee.
(f) Employer Disclosure: If you are an individual and your Account (i) is paid for by your employer, (ii) was created at the request of your employer, (iii) uses a work-sponsored email address, (iv) is administered by your employer, and/or (v) otherwise reasonably appears to us as controlled by your employer, we will consider your Account and all information associated therewith as property of your employer as the ultimate account holder. This means that upon request of your employer, we will disclose information collected in connection with your usage of the Road-IQ Services, including Personal Data, to your employer. Upon the cessation of your employment for any reason, we may block or discontinue you access rights associated with your employer account.
(g) Specific Terms: Specific portions or pages of our Sites or the Road-IQ Services may notify you of additional or different provisions relating to collection and disclosure of Personal Data. In the event of a conflict between such provisions and this Privacy Policy, such specific terms shall control.
7. Use of Aggregate and Non-Personally Identifying Information: Road-IQ may anonymize, aggregate or de-personalize Personal Data and/or Usage Information to create non-personally identifiable information (“AnonymizedData”), including by removing or obscuring identifying characteristics from video data. Road-IQ may freely disclose and use Anonymized Data and other non-personally-identifying information for industry analysis, statistical purposes, demographic profiling, marketing and advertising, and other business purposes (which may include reporting on trends in the usage of Products, Sites or Road-IQ Services).
8. Marketing Messages: If you submit your email address or other contact information to us we may use this information to send you news about services, products or promotions of Road-IQ and its affiliates and select business associates. We may use one or more affiliates or service providers to administer these messages, but we do not share your email address with spammers or any other third parties for their own use without your permission. You may opt-out of receiving marketing-related e-mails from us by logging in and changing your Account settings or by using the opt-out method detailed in any message that you receive. You may not opt-out of receiving essential updates regarding your relationship or transactions with Road-IQ (including service notices and safety updates for Road-IQ Services), however if you do not wish to receive such messages you have the option to deactivate your Account.
9. Contact with Road-IQ: If you provide us with comments or feedback or send us a support request we may collect your name and e-mail address, as well as any other content included in the e-mail to send you a reply and improve Road-IQ Services.
10. Social Media Widgets: Our Site and Services may include social media features, such as the Facebook “like” button and widgets, such as the “share this” button. These features may collect your Personal Data and track your use of Road-IQ Services. Your interactions with these features are governed by the privacy policy of the company providing such functionality.
11. Third Party Service Providers: We are not responsible for the actions or privacy polices of any Third Party Providers (including providers of social media features). We encourage you to read the privacy policies and service terms of the Third Party Providers that you use or authorize. Your use or authorization of Third Party Providers (such as a telecommunications provider or social media feature provider) may permit such Third Party Provider to collect personal data or usage information or to track your activity. We do not exercise control over Third Party Providers, websites or services and are not responsible for their actions or privacy practices. We do not control the use of cookies (or the resulting information) collected by such third parties, and the use of third party cookies is not covered by this Privacy Policy.
12. Security: We use security measures consistent with industry practice to protect the loss, misuse and alteration of your Personal Data under our control. However, no method of transmission over the Internet, or method of electronic storage, is 100% secure. Therefore, we cannot guarantee the absolute security of Personal Data. We will comply with all privacy laws and make any legally required disclosures regarding breaches of the security, confidentiality, or integrity of Personal Data consistent with our ability to determine the scope of a breach and our obligations to law enforcement.
13. Minors: The Sites and Road-IQ Services are not directed to children under 13 and we do not knowingly collect Personal Data from children under 13. If we learn that we have collected Personal Data of a child under 13 we will take steps to delete such information from our files as soon as possible.
14. Changing or Deleting Your Information: You may review, update, correct or delete the Personal Data associated with your account by logging into your Account. If you wish to update or delete other Personal Data, you can contact us using the contact points specified below. We’ll take steps to modify or delete your Personal Data as soon as is practical, but some information may remain in archived/backup copies for our records or as otherwise required by law.Upon termination of your Account, we will retain all Personal Data for the length of time needed to fulfill the purposes outlined in this Privacy Policy, to fulfill our obligations in connection with the Road-IQ Services, and to satisfy document retention policies, unless a longer retention period is required or permitted by law, or as necessary to comply with our legal obligations, resolve disputes, and enforce our agreements.
15. Links to Other Sites and Services: Road-IQ Services may contain links to other websites or services. The fact that we link to a website or service is not an endorsement, authorization or representation that we are affiliated with that third party. We do not exercise control over third party websites or services. Other websites and services follow different rules regarding the use or disclosure of the Personal Data you submit to them. We encourage you to read the privacy policies or statements of the other websites you visit and services that you use.
16. Your California Privacy Rights: Our Sites do not collect personally identifiable information about an individual user’s online activities across third party web sites, and thus do not monitor your browser’s Do Not Track indicator. We do not provide Personal Data collected by Road-IQ Services to organizations for their own direct marketing purposes; provided that your use or authorization of Third Party Providers (such as a telecommunications provider or social media feature provider) may permit such Third Party Provider to collect personal data or usage information or track your activity. We are not responsible for the actions or privacy polices of any Third Party Providers (including providers of social media features).

International Transfer: Your information may be transferred to, and maintained on, computers located outside of your state, province, country or other governmental jurisdiction where the privacy laws may not be as protective as those in your jurisdiction. The Road-IQ Services are intended for use in the United States of America. If you are located outside the United States and choose to provide information to Road-IQ, please be advised that we transfer Personal Data to the United States and process it there (and possibly other countries). Your hereby consent to the transfer of your information and Personal Data in accordance with this section.

6. Disclosure to Third Parties: Under this Privacy Policy you and your Authorized Users and Guests hereby consent to our sharing Personal Data under the following circumstances:

(c) Third Party Service Providers: We may provide Personal Data to a third party who facilitates your access to the Road-IQ Services (such as Verizon Wireless in connection with cellular access to a Product) or whom you have otherwise authorized via the Road-IQ Services (collectively, a “Third Party Provider”) in connection with your receipt of the authorized services.
(d) Special Cases: Road-IQ cooperates with government and law enforcement officials and private parties to enforce and comply with the law. We will use, and disclose any information about you to government or law enforcement officials or private parties as we, in our discretion, believe necessary or appropriate to respond to claims and legal process (including but not limited to subpoenas), to protect the property and rights of Road-IQ or a third party, to enforce our legal agreements, to protect the safety of the public or any person, or to prevent or stop any activity we may consider to be, or to pose a risk of being, illegal, unethical, inappropriate or legally actionable.
(e) Corporate Transactions: In the event Road-IQ or its affiliates or their assets are sold, merged or otherwise involved in a corporate transaction or bankruptcy, your Personal Data will likely be transferred as part of that transaction. We reserve to right to transfer your information without your consent in such a situation; provided that we will make reasonable efforts to see that your privacy preferences are honored by the transferee.
(f) Employer Disclosure: If you are an individual and your Account (i) is paid for by your employer, (ii) was created at the request of your employer, (iii) uses a work-sponsored email address, (iv) is administered by your employer, and/or (v) otherwise reasonably appears to us as controlled by your employer, we will consider your Account and all information associated therewith as property of your employer as the ultimate account holder. This means that upon request of your employer, we will disclose information collected in connection with your usage of the Road-IQ Services, including Personal Data, to your employer. Upon the cessation of your employment for any reason, we may block or discontinue you access rights associated with your employer account.
(g) Specific Terms: Specific portions or pages of our Sites or the Road-IQ Services may notify you of additional or different provisions relating to collection and disclosure of Personal Data. In the event of a conflict between such provisions and this Privacy Policy, such specific terms shall control.
7. Use of Aggregate and Non-Personally Identifying Information: Road-IQ may anonymize, aggregate or de-personalize Personal Data and/or Usage Information to create non-personally identifiable information (“AnonymizedData”), including by removing or obscuring identifying characteristics from video data. Road-IQ may freely disclose and use Anonymized Data and other non-personally-identifying information for industry analysis, statistical purposes, demographic profiling, marketing and advertising, and other business purposes (which may include reporting on trends in the usage of Products, Sites or Road-IQ Services).
8. Marketing Messages: If you submit your email address or other contact information to us we may use this information to send you news about services, products or promotions of Road-IQ and its affiliates and select business associates. We may use one or more affiliates or service providers to administer these messages, but we do not share your email address with spammers or any other third parties for their own use without your permission. You may opt-out of receiving marketing-related e-mails from us by logging in and changing your Account settings or by using the opt-out method detailed in any message that you receive. You may not opt-out of receiving essential updates regarding your relationship or transactions with Road-IQ (including service notices and safety updates for Road-IQ Services), however if you do not wish to receive such messages you have the option to deactivate your Account.
9. Contact with Road-IQ: If you provide us with comments or feedback or send us a support request we may collect your name and e-mail address, as well as any other content included in the e-mail to send you a reply and improve Road-IQ Services.
10. Social Media Widgets: Our Site and Services may include social media features, such as the Facebook “like” button and widgets, such as the “share this” button. These features may collect your Personal Data and track your use of Road-IQ Services. Your interactions with these features are governed by the privacy policy of the company providing such functionality.
11. Third Party Service Providers: We are not responsible for the actions or privacy polices of any Third Party Providers (including providers of social media features). 13. Minors: The Sites and Road-IQ Services are not directed to children under 13 and we do not knowingly collect Personal Data from children under 13. If we learn that we have collected Personal Data of a child under 13 we will take steps to delete such information from our files as soon as possible.

Your California Privacy Rights: Our Sites do not collect personally identifiable information about an individual user’s online activities across third party web sites, and thus do not monitor your browser’s Do Not Track indicator. The Road-IQ Services are intended for use in the United States of America. If you are located outside the United States and choose to provide information to Road-IQ, please be advised that we transfer Personal Data to the United States and process it there (and possibly other countries).
